to the Annual General Meeting of

Citizens Advice Diss, Thetford and District

(‘the Charity’)

To be held on

Thursday, 17^th November 2022

commencing at 2:00 pm (doors open 1:45 pm)

at the Diss Corn Hall,

10 St. Nicholas Street, Diss, Norfolk IP22 4LB

Notice is hereby given that the Annual General Meeting (Meeting) of Citizens Advice Diss, Thetford and District (the Charity) will be held at the Diss Corn Hall, 10 St. Nicholas Street, Diss, Norfolk IP22 4LB, on Thursday, 17th November 2022, to transact the following business:

1. Public Welcome by Jill Wade, the Chair of Trustees of the Charity.
2. To receive apologies for absence and any declarations of interest.
3. To call an Extraordinary General Meeting for the Adoption of new Articles of Association.
4. Jill Wade reported that Citizens Advice and the Charity Commission had suggested the new variations proposed, that enable ongoing efficient operation of charitable organisations post the Covid-19 pandemic. Automatic approval is granted to permit adoption of the model rules:

“The new Articles are based on Charity Commission recommended model Articles and have been adjusted to include the specific requirements of the Citizens Advice service. The Articles also enable future hybrid general meetings so that members can attend digitally”.

The Charity Commission has provided blanket consent for those offices using the current unamended 2009 model Articles to move to the new version.

5. To take any questions from members.
6. EGM Special Resolution – Adoption of new Articles of Association: That, subject to the recorded / required approval of Citizens Advice (Company Number 04212031 and Charity Registration Number 1089052) and the Charity Commission, the draft articles of association i.e. “New Model Articles” attached be adopted as the articles of association of the Charity in substitution for, and to the exclusion of, the existing articles of association.
7. Approval of minutes: 7.1 Resolution: That the Minutes of the Annual General Meeting of the Charity held on 14th October 2021 be approved.
8. Resolution: That the accounts of the Charity for the financial year ended 31st March 2022 be approved and adopted.
9. To receive the progress report of Jill Wade, the Chair of Trustees.
10. The election of Trustees:

10.1. Resolution: That Sally Beevor be elected a Trustee.

11. Resolution: That notice is given to Larking Gowen to continue to be appointed as the Independent Examiners of the Charity from 2022/23.
12. To welcome Chris Sargisson as our newly appointed Chief Executive Officer.
13. To note Amy Griffiths has been promoted to Chief Operating Officer of the Charity.
14. To discuss any other business properly conducted at an Annual General Meeting of the Charity.
15. To invite individuals and organisations in agreement with the aims and principles of the Citizens Advice Service to become Members of the Charity.
16. To receive the Chief Executive Officer Address to the Members.
17. Formal closure of meeting.

Any Member of the Charity is entitled to appoint another person as a proxy to exercise any and all rights to attend and to speak and vote at a meeting of the Charity.
